1. Definitions
In these terms and conditions, the following definitions apply:
Contractor: Louisa Vergozisi Photography, based in Venlo.
Client: The natural or legal person entering into an agreement with the Contractor.
Agreement: Any arrangement between the Contractor and the Client regarding the provision of photography or related services.
2. Applicability
These general terms and conditions apply to all quotations, agreements, and services of Louisa Vergozisi.
Deviations from these conditions are only binding if confirmed in writing.
3. Quotations and Agreements
Quotations are without obligation unless otherwise stated.
An agreement is concluded once the Client has accepted the quotation or order confirmation, either verbally or in writing.
4. Payment
The payment term is 14 days from the invoice date, unless otherwise agreed in writing.
In case of late payment, the Client is in default without further notice and statutory interest will be charged.
If payment is not made within the specified term, the Contractor reserves the right to suspend work.
5. Cancellation
If the Client cancels within 7 days before the assignment, 50% of the agreed fee will be due.
If the Client cancels within 48 hours before the assignment, 100% of the agreed fee will be due.
6. Delivery
Photographic files will be delivered within (period, e.g. 14 working days) after completion of the assignment, unless otherwise agreed.
All photos remain the property of the Contractor until full payment of the invoice has been made.
7. Copyright and Use
All copyrights of the photographs remain with the Contractor.
The Client may only use the photographs for the purposes agreed upon. Written permission is required for commercial use.
8. Liability
The Contractor is not liable for indirect damages, such as loss of income.
The Contractor is only liable for direct damages resulting from intent or gross negligence, limited to the invoice amount.
9. Complaints
Complaints about delivered services must be reported in writing within 14 days after delivery.
In the case of justified complaints, the Contractor will, at her own discretion, either re-execute the assignment free of charge or offer a partial refund.
10. Governing Law
These terms and conditions are governed by Dutch law.
Disputes will preferably be resolved amicably. If this is not possible, disputes will be submitted to the competent court in the district where the Contractor is established.
